1. PREAMBLE
1.1 Estonian
Employees´ Unions´ Confederation (hence-forth, TALO) shall be a voluntary union
of the employees´ national unions (hence-forth, member organisations)
established in order to represent and defend the work-related, social and
trade-related interests of specialists of their trade and other employees
working in
1.2 TALO shall be a central union, composed of trade and professional
unions and the associations of these working throughout
1.3 The
abbreviation of Estonian Employees´ Unions´ Confederation shall be TALO.
1.4 The Executive
Board of TALO shall be situated in
1.5 The
English for TALO shall be Estonian Employees´ Unions´ Confederation.
1.6 TALO shall
be a legal person with its own bank account, a seal with its name, a system of
symbols and an independent budget.
1.7 TALO shall
be a non-profit organisation who shall independently adopt its Constitution and
action programme.
1.8
TALO shall independently own, use and
be in control of all its property.
1.9
TALO shall be responsible for
fulfilling its obligations with all its property.
1.10 TALO
shall not be responsible for fulfilling or not fulfilling its members´
obligations.
1.11 The
members of TALO shall not be financially responsible for TALO´ s property
obligations.
1.12 In its
activities, TALO shall be guided by
1.12.1 The principles of The United
Nations Universal Declaration of Human Rights, The European Social Charter, the
ILO conventions and international legal acts;
1.12.2 the internationally
acknowledged aims and methods of independent trade unionism;
1.12.3 the
Action Programme of TALO;
1.12.4 The Constitution of The Republic
of Estonia and other laws;
1.12.5 the
present Constitution
1.12.6 in matters
not regulated by the Constitution, TALO shall follow the legislation of
non-profit organisations and that of trade unions.
1.13 TALO has
been established in order to represent and defend the employees´ work-,
income-, trade-related as well as economic, educational and society-related
interests and the relevant political rights through co-operation.
2. THE AIMS,
COMPETENCE AND RIGHTS OF TALO
2.1 The aims
of TALO shall be:
2.1.1 to defend and represent the
employees´ work-, profession-, income- and education-related as well as
economic and social rights and interests before employers, the associations of
these, state and local authorities and other institutions and the associations
and central unions of the latter;
2.1.2 to be a
partner in social dialogue to the employers, the associations of these, local
authorities, the institutions, associations and central unions of these, the
Government of Estonia and the ministries and institutions at representing and
defending the rights and interests stated in point 2.1.1.
2.1.3 to develop
co-operation between its members and to strive for the execution and
strengthening of the principles of social justice;
2.1.4 to execute
the trade union rights of the employees, in particular the right to bargain
collectively over the conditions of their life, work, profession, salaries etc;
2.1.5 to defend the employees´ rights
before court, organisations dealing with work issues and arguments,
institutions of state and local authorities and the associations of these;
2.1.6 to actively take part in the working
out of trade-related legal acts and in implementing as well as executing these,
in activities related to recognising, ascribing and executing trades;
2.1.7 to develop
and activate co-operation and solidarity between the employees;
2.1.8 in co-operation with other countries´
free trade unions to defend all the people's right to education, work and
social security;
2.1.9. to develop and strengthen co-operation between employers and employees
in order to improve the employees´ work-, profession- and trade-related as well
as economic and social conditions and to raise the quality, effectiveness and
productivity of their work;
2.1.10 to collaborate and develop
connections with trade unions, other NGOs and persons not in the government in
Estonia and abroad who support the trade union movement.
2.2
TALO shall not aim to earn a profit.
2.3 In order
to achieve the aims, TALO shall be competent to:
2.3.1 hold negotiations on the national level
and to contract collective agreements concerning work relations, working
conditions and pay as well as other trade-related questions or these concerning
education, including additional and re-schooling and economic, social and other
issues;
2.3.2 contract the
agreements necessary for the activities of TALO;
2.3.3 represent its members´ common
interests before employers, the associations and central unions of these,
before courts and organisations dealing with work issues and arguments and before
other state and local authorities´ institutions, before the associations of the
latter and other institutions;
2.3.4 co-ordinate
the co-operation of its member unions, to represent and defend their interests
and rights;
2.3.5 keep a watch on the employers, state
institutions, local authorities and the associations of these on how they
follow the work laws, collective and work contracts and other agreements
contracted with the trade union;
2.3.6 apply for the adopting, cancelling
and changing of the legal acts concerning work relationships, the labour market
situation and social issues before persons who have the right to initiate laws
and to participate in the working out of legal acts and to take part in the
work of relevant committees;
2.3.7
suggest the terminating of the activities by employers
and other persons and institutions that harass the lawful rights of the
employees;
2.3.8 solve
work-related arguments and to represent its members in such cases;
2.3.9 apply for
the considering of the rise in the cost of living on adopting and changing
socio-economic warranties, should the situation of the employees grow worse;
2.3.10 apply for
the improving of the situation of the working conditions and health protection
and to take part in activities related to labour protection;
2.3.11 analyse the conditions of the main
trades of its members at the labour market and according to the analysis to try
and promote the professional status of the respective trades at the labour market;
2.3.12 use other
credentials according to the trade union law and other laws.
2.4 In order
to achieve the aims at representing and defending the rights and interests of
its members, as well as in order to develop economic activities and work relationships,
TALO shall have a right to:
2.4.1 get instant information from state
institutions, local authorities and employers on fulfilling laws, collective
and other agreements concerning its activities, on the standard of living,
minimum living wage, inflation and the cost of living as well as other
indicators that express the employees´ socio-economic situation;
2.4.2 get instant
information from employers and the associations of these that TALO´ s members
are employed at on work-related and economic activities and other issues that
interest the employees;
2.4.3 carry out sociological and other
research that concern legislation, the situation and development of the society
in order to find out the needs and interests of its members and in order to
work out the main directions of its activities, as well as in order to keep a
watch on the development of legislation and the society;
2.4.4 establish
foundations and legal persons and take part in the activities of these;
2.4.5 develop
information- and publicity-related activities and organise meetings, additional
schooling and lectures;
2.4.6 co-operate
with institutions owning legal initiative;
2.4.7 help its
members at fulfilling their constitutional rights by supplying legal advice and
methodical assistance, upon need supply assessment by experts concerning their
work- and trade-related legal questions;
2.4.8 organise for
its members trade-union-related and special schooling in the forms of courses,
seminars and other forms;
2.4.9 in co-operation with other countries´
unions and organisations to defend its members´ right to work, education and
social security;
2.4.10 take part
in influencing and executing labour market-related and social policy;
2.4.11 organise meetings, street
processions, pickets and other protest actions;
2.4.12 following the order set forth by the
law, to organise strikes, including support and warning strikes.
2.4.13 own a publishing base and means of
mass media, develop publishing activities, including publishing and
distributing newspapers, magazines and other publications, launching
information materials necessary for co-operation;
2.4.14 own property necessary for its
activities, to use and be in control of that in order to achieve its aims and
in accordance with the present Constitution;
2.4.15 collaborate
with and help the employers at improving the employees´ professional skills and
qualification;
2.4.16 develop
whatever relationships within the state and abroad that are not contradictory
to the Constitution of Estonia; regulation of the relationships is carried out
according to mutual agreements;
2.4.17 co-operate with international trade
union organisations and other movements;
2.4.18 carry out other
rights set forth by the trade union law and other legal acts.
2.5 TALO shall
not impair the interests of its member unions and individual members. The
activities of TALO must not impair any persons´ constitutional rights and these
set forth by other laws.
2.6 TALO shall
not interfere in the internal affairs of member unions, in case these are not
connected with the activities and responsibility of TALO and do not impair the
activities and interests of TALO.
2.7 TALO shall
not claim the functions, commands and responsibilities that state and economic
bodies or other organisations in the society should solve and shall not be
obliged to give reports before them.
3. THE LEGAL
PROTECTION OF TALO
3.1 TALO as a central organisation of trade and professional unions
shall be independent in its activities and shall only follow the laws.
Prohibited shall be activities which directly or indirectly are aimed at
subjecting TALO to the employer, the associations of the latter, institutions
of state and local authorities and whatever other institution or organisation.
3.2 Everybody shall have a right to establish a trade or professional
union and join the latter in order to protect one´s
interests without prior permission. No other restrictions may apply at using these
rights than these which have been set forth by the laws and these which are
necessary to protect the security of the state, the public discipline, the
health and morality, rights and freedoms of other persons. It is a violation of
the law to restrict the rights of the employees according to their membership
in trade unions and their activities in the latter.
3.3 TALO has a right to be protected by the international central
organisations of trade and professional unions, courts and the state in case the
employers, institutions of state and local authorities, other persons and
institutions interfere in the establishing, activities and control of a trade
union. Trade and professional unions have the right to receive protection in
the case of illegal dissolving or prohibiting.
4. THE MEMBERS OF TALO
4.1 The rights and obligations of the members of TALO and their
individual members shall be set forth by the present Constitution and by the
resolution of the General Assembly.
4.2 TALO shall be composed of trade and professional unions working
throughout
4.3 The members of TALO shall be legal persons.
4.4 Affiliation to TALO shall be on a voluntary basis.
4.5 A trade or professional union, wishing to affiliate to TALO, shall
submit a written application to the Executive Board. The application shall
include a resolution of the governing body, the constitution, membership
statistics of the union and documents on being included to the register.
4.6 The Executive Board shall consider the application within one month
following receipt and shall inform the applicant of the resolution in written
form.
4.7 In the event that the Executive Board rejects the application the
applicant may demand for consideration by the General Assembly.
4.8 In the event of withdrawal from TALO the member union shall provide
to the Executive Board a notification of the governing body or any other
competent body set forth in its constitution and the Executive Board shall
consider the notification within one month. Withdrawal takes place on the day
of TALO´s Executive Board´s
resolution.
4.9 A member union who violates the constitution or ceases to fulfil the
aims and principles of TALO or systematically is in arrears of the payment of
its membership fees, shall be excluded from
membership. The appropriate resolution shall be made by the Executive board who
shall have informed the excluded member of the resolution. The member union shall have a right to
participate at the meeting of the Executive Board. TALO´ s Executive Board shall immediately
notify the member of the written resolution and the reasons of exclusion.
4.10 Any member that has been excluded shall have the right to appeal to
the next meeting of the General Assembly.
4.11 A member that has withdrawn or has been excluded shall not have a
right to use the property of TALO and the membership fees shall not be
returned.
4.12 Any member union shall have the right to make independent
decisions, but they must not impair the interests of TALO and its members.
4.13 Any member union shall be obliged to:
4.13.1 follow
the demands set forth in the present Constitution;
4.13.2 communicate
the membership statistics to TALO and submit any other relevant information
upon TALO´s request;
4.13.3 inform
TALO about contracting collective agreements and changing these on the member
union level, as well as about fulfilling these upon TALO´s
request;
4.13.4 refuse
to contract agreements that harm TALO or its members and keep away from any
other such activities;
4.13.5 inform
TALO in time about the issues, proposals and applications that may be of
importance to TALO or its member unions;
4.13.6 pay
the membership fee according to the rate and order set forth by the General
Assembly;
4.13.7 develop
national and regional co-operation;
4.13.8 in
building up the trade union and in their every-day activities, execute the
principles of democracy and open action;
4.13.9 fulfil
the resolutions of the governing bodies of TALO and express solidarity with the
justified demands of the members of TALO and other organisations.
4.14 Any member of TALO shall have the right to:
4.14.1 submit to TALO´ s
governing bodies applications and suggestions about taking measures in order to
improve the trade unions´ and professional associations` members´ work- and
profession-related as well as social conditions, including to submit
suggestions and applications about organising strikes or other protest actions;
4.14.2 in
their activities, get various help according to the member status in the trade
union, including organisational and legal advice according to work
relationships and the activities of the trade union and in the case of a
work-related argument;
4.14.3 get
necessary information about the activities of TALO and for the work of the
trade union;
4.14.4 submit
inquiries and instructions to the governing bodies of TALO and to make
suggestions;
4.14.5 take
part in the deciding of the control and use of the common property of TALO;
4.14.6 withdraw
from TALO;
4.14.7 use
other rights set forth by international legal acts, laws, the trade union law,
the present Constitution and the resolutions of the General Assembly.
4.15 Individual members of TALO´s member
unions shall have a right to:
4.15.1 get assistance through
collective agreements concerning pay that is up to the value of their work,
holidays, work time, healthy and safe working conditions and the fulfilling of
work laws;
4.15.2 elect
members and be elected to the trade union´s governing
bodies and to take part in the activities of the trade union in other ways;
4.15.3 be
represented in TALO´s governing bodies and
workgroups;
4.15.4 according to the
programme of TALO, to get professional and trade union related schooling in
order to represent and defend the interests connected to their work
relationships;
4.15.5 to be privileged at
taking part in events organised by TALO and in such cases, to get assistance
meant for the members of TALO according to the extent set forth by TALO;
4.15.6 use
other rights meant for trade and professional unions that are set forth by the
present Constitution and other legal acts.
4.16 TALO´ s supporting members.
4.16.1 The employees that are
not members of trade or professional unions but who are considered by the
collective agreements contracted by TALO or its member unions and who support TALO´s and other trade and professional union related
activities may become TALO´s supporting members, having
voluntarily submitted an application to the Executive Board of TALO or any
member organisation.
4.16.2 Any employee may become
a supporting member of TALO on the basis of a voluntary application.
4.16.3 The supporting member
shall pay a solidarity fee based on the voluntary application and the rate
shall be as much as the membership fee of the trade or professional union that
the application was submitted to.
4.16.4 The solidarity fee
shall be used in order to cover the costs of pickets, strikes, including
warning and supporting strikes, organised by TALO, in order to support the
members and supporting members of TALO at taking part in strikes according to
the financial possibilities and in order to provide the members of TALO with
trade union related schooling.
4.16.5 The conditions set
forth in collective agreements by TALO, its member organisations or individual
members of these, shall expand to TALO´ s supporting members.
4.16.6 Supporting members
shall not have the right to vote, they cannot represent any other members of
trade or professional unions in trade union activities; neither shall any other
advantages set forth for members of trade or professional unions expand to
supporting members.
4.16.7 Supporting members
shall have a right to submit suggestions about the activities of TALO and the
trade and professional unions that do not impair TALO and the trade and
professional union movement, they shall have a right to take part in pickets,
other actions and strikes, including warning and supporting strikes organised
by TALO and its member unions, as well as to take part in the assemblies of the
trade and professional unions.
4.16.8 Supporting members may
voluntarily cancel their application at any given time.
4.16.9 If a supporting member
impairs the activities of TALO or any trade or professional union, the member
may be dismissed according to the order that has been set forth in the trade or
professional union that the member submitted the application to become a supporting
member to.
4.16.10 In the case of
cancelling the supporting member application or in the case of dismissal, the
solidarity fee shall not be returned.
THE GOVERNING OF TALO
5.1 The governing bodies of TALO shall be the General Assembly and the
Executive Board.
5.2 The functions of the general meeting of TALO shall be carried out by
the assembly of commissioners (hence-forth, General Assembly) elected by and
from among the members, which shall be the supreme authority of TALO. The
General Assembly shall be composed of five commissioners from each member
union: a member of the Executive Board
of TALO and four elected commissioners. The General Assembly shall have ability
to make resolutions if at least two thirds of the commissioners are present.
The resolution shall be adopted by a majority of more than a half of the votes
cast. A resolution about changing the
aims and the Constitution of TALO and about liquidating TALO shall be adopted
if at least two thirds of the members present vote for it. Each commissioner
shall have one vote.
5.3 The General Assembly shall meet upon need, but at least once a year.
The Extraordinary General Assembly shall be summoned if the Executive Board,
stating the reason in written form, demands so or one third of the member
unions of TALO or the Financial Committee demand so. The summoning of the
General Assembly must be informed of in written form at least one month in
advance. The invitation must include the agenda of the General Assembly and the
time and place of the assembly.
5.4 In case the necessary number of commissioners did not show up at the
General Assembly, the assembly must be summoned within one month, with the same
agenda. The assembly that has been summoned for the second time has ability to
make resolutions regardless of the number of the commissioners present.
5.5 The General Assembly of TALO shall:
5.5.1 adopt
the constitution and action programme of TALO and upon need make amendments;
5.5.2 confirm
and change the aims of TALO´s activities;
5.5.3 confirm
the budget and the yearly fiscal report;
5.5.4 confirm
the members of the Executive Board of TALO;
5.5.5 elect
the members of the Financial Committee;
5.5.6 set forth the main
directions of using the financial means and confirm
the yearly budget;
5.5.7 consider
the report given by the Executive Board and provide evaluation of the work of
the Executive Board;
5.5.8 confirm
the report of the Financial Committee;
5.5.9 set forth the rate of
the membership fee and the order of paying that;
5.5.10 resolve
the setting up of conditions on the transfer of an immovable or a movable in
the movable property register or encumbrance of the latter with real right;
5.5.11 solve
applications and complaints arising from this Constitution;
5.5.12 decide
over the affiliation, division and liquidation of TALO.
5.6 The General Assembly shall have a right to solve all issues
concerning the activities of TALO and decide over these.
5.7 A member of the Executive Board must not take part in voting at the
General Assembly over evaluation of the activities of the Executive Board that
he or she is responsible for.
5.8 A member of the Financial Committee must not take part in voting for
the confirmation of the report of the Financial Committee and in evaluating the
activities that he or she is responsible for.
5.9 During the time between the General Assemblies, the activities of
TALO shall be directed by the Executive Board.
5.10 The term of office of the Executive Board shall be four years and
the credentials shall be in action up to the regular General Assembly.
5.11 The number of members of the Executive Board shall correspond to
the number of TALO´ s member unions, the Executive Board shall consist of at
least five members. In case the number of the members of the Executive Board
becomes less than five, a General Assembly must be summoned in order to confirm
the new Executive Board or decide over TALO´ s further activities.
5.12 The Executive Board shall be composed of one representative from
each member union of TALO, who shall be the member of the Executive Board and
who shall be delegated to the General Assembly by the Executive Board of the
member union in case it has not been stated otherwise in the statutes of the
member union.
5.13 The General Assembly of TALO shall confirm the members of the
Executive Board.
5.14 During the term of office of the Executive Board, member unions
have a right to call back their representative from the Executive Board and
delegate a new representative. A new member shall be delegated in the same way
in case a member of the Executive Board withdraws or is dismissed.
5.15 A new member union, having become a member of TALO, shall include
in the joining application a resolution about who they shall delegate to be a
member of the Executive Board of TALO.
5.16 A person that has been delegated to the Executive Board of TALO
during the time between the General Assemblies shall acquire the rights and
obligations of a member of the Executive Board on the day of the relevant
resolution. A member of the Executive Board delegated by a new member union of
TALO shall acquire the rights and obligations on the day of the decision of
acceptance.
5.17 The Executive Board of TALO shall:
5.17.1 represent
TALO and direct the affairs and activities between the General Assemblies;
5.17.2 act
according to the current legislation and follow the present Constitution and the
resolutions of the General Assembly;
5.17.3 upon
need, represent the members of TALO before other organisations and
institutions;
5.17.4 summon
the General Assembly;
5.17.5 submit
the materials with the issues under discussion to the General Assembly and
assure the execution of the resolutions adopted.
5.17.6 maintain
connections with other trade unions and co-operation partners in
5.17.7 maintain
the funds of TALO, organise the accounting system and financial statements;
5.17.8 according
to the suggestions of the Chairperson, hire and dismiss the employed workers of
TALO and confirm their assignments, work and salary conditions;
5.17.9 upon
need, form work groups in order to solve concrete issues;
5.17.10 bargain of behalf of
TALO, contract collective agreements on the state and local level with local
authorities and the associations of employers, upon need form delegations for
negotiations;
5.17.11 give
consent or refuse to give consent to the collective agreements contracted by
TALO;
5.17.12 organise the
registration of the collective agreements contracted by its member unions;
5.17.13 contract
other agreements necessary for the activities of TALO, guarantee the fulfilling
of these;
5.17.14 elect
the Chairperson and Deputy Chairperson of the Executive Board;
5.17.15 decide
over the proclamation of a strike and organising other actions or according to
the national importance of the action, decide over passing the issue to the
General Assembly.
5.17.16 organise the
membership statistics of TALO;
5.17.17 fulfil
other assignments arising from the present Constitution and the resolutions of
the General Assembly.
5.18 The Executive Board shall not solve issues that only the General
Assembly has a right to decide over.
5.19 The Executive Board shall meet upon need, but at least once a
month. An extraordinary meeting shall be summoned if the Chairperson demands so
or if at least one third of the members of the Executive Board do so. The
meeting of the Executive Board shall have ability to make resolutions if more
than a half of its members are present, including the Chairperson or the Deputy
Chairperson. In order for a resolution of the Executive Board to be adopted,
more than a half of the members present must vote for it. In case the votes are
tied, the Chairperson shall make a decision.
5.20 The rights, responsibilities and obligations of the members of the
Executive Board shall be set forth by a work order adopted by the Executive
Board.
5.21 A commissioner of the General Assembly and a member of the
Executive Board cannot vote at deciding over the following issues:
5.21.1 a
demand against his/her member union that he/she represents or relieving of
property-related or other obligations;
5.21.2 excluding
the member organisations that he/she represents from TALO;
5.21.3 in issues concerning
the contract between him/her or the member union and TALO.
5.22 In order to organise the work of the Executive Board the latter shall
elect a Chairperson and Deputy Chairperson from among its members for the
period of its term of office.
5.23 The Chairperson shall:
5.23.1 be
a member of the Executive Board and represent TALO in the limits of the
credentials acquired from the present Constitution;
5.23.2 prepare
and direct the meetings of the Executive Board;
5.23.3 guarantee
the fulfilling of the resolutions of the General Assembly and the Executive
Board;
5.23.4 give
orders, directives, be in control of TALO´s property
and resources according to the resolutions of the General Assembly and the
Executive Board and the present Constitution;
5.23.5 give
out and sign proxies;
5.23.6 hire
and dismiss employed workers;
5.23.7 be
obliged to give reports concerning the financial and economic activities of
TALO before the Executive Board and the General Assembly;
5.23.8 fulfil
other assignments arising from the present Constitution, the resolutions of the
General Assembly and the Executive Board, the laws and other legal acts.
5.24 The Deputy Chairperson shall:
5.24.1 be
a member of the Executive Board;
5.24.2 fill
the place of the Chairperson in his/her absence.
5.25 Upon the resolution of the Executive Board the expenditures arising
from the activities of TALO may be compensated and the work of the members of
the Executive Board may be paid for in the limits of the budget confirmed by
the General Assembly.
5.26 On the transfer or the encumbrance of an immovable or a movable in
the movable property register with real right, the members of the Executive
Board may represent TALO as a whole, according to the conditions set forth by
the General Assembly. In other property related legal activities, the
Chairperson and Deputy Chairperson may represent TALO in person, other members
of the Executive Board may do so in pairs.
5.27 In order to contract a treaty and set forth the relevant conditions
with a member of the Executive Board of TALO or any person with equal economic
interests, a resolution of the Executive Board shall be necessary. A treaty
with a member of the executive Board shall be contracted by the Chairperson, a
treaty with the Chairperson shall be contracted by the eldest member of the
Executive Board.
6. THE FINANCIAL COMMITTEE
6.1 The Financial Committee shall be elected by the General Assembly and
consist of at least three members.
6.2 The Financial Committee shall:
6.2.1 elect
a Chairperson from among its members, upon need form sub-committees;
6.2.2 check
whether the work of the Executive Board follows the laws and the present
Constitution;
6.2.3 supervise
the financial and economic activities of the Executive Board;
6.2.4 have
authority to study all documents concerning the financial and economic
activities as well as the business management of TALO;
6.2.5 have
the right to submit prescriptions in order to have the discovered shortcomings
removed;
6.2.6 have
the obligation to submit a report before the General Assembly once a year.
6.3 The report of the Financial Committee shall be confirmed by the
General Assembly.
6.4 The term of office of the Financial Committee shall be four years,
at the same time that the term of office of the Executive Board. When the Executive Board loses its credentials, so does the
Financial Committee.
6.5 The members of the Executive Board may not belong to the Financial
Committee.
7. THE PROPERTY AND FINANCE-ECONOMIC AFFAIRS OF TALO
7.1 The property and financial means of TALO shall be made up of
entrance and membership fees and solidarity fees, income from sponsors and
donations by individual persons, as well as the income set forth by the
Constitution.
7.2 The financial means of TALO shall be used for the activities arising
from this Constitution, in order to meet the needs of the members, to finance
the activities of the governing bodies and for other purposes according to the
confirmed budget.
7.3 Donations for specific purpose shall be used according to the
purpose.
7.4 TALO may form charity and other foundations in order to support its
members.
7.5 TALO shall keep its money in the banks chosen by itself.
7.6 The Executive Board of TALO shall organise the accounting system.
7.7 The fiscal year of TALO shall last from January 1 to December 31.
8. THE BASES AND ORDER OF THE ACCESSION, DIVISION AND DISSOLUTION OF
TALO
8.1 The accession, division and dissolution of TALO shall take place
according to the resolution of the General Assembly.
8.2 The resolution of accession or division shall include the legal
successor(s) of TALO who shall take over the rights and obligations of TALO; the relevant
amendments shall be inserted into the Constitution.
8.3 The activities of TALO shall be brought to and end on the basis of
legislation, the same action shall be taken in case the number of member
organisations becomes less than five or in case the General Assembly has
adopted a resolution on the dissolution of TALO.
8.4 On the dissolution of TALO, the Executive Board shall act as the
Liquidation Committee, in case the General Assembly does not decide otherwise.
8.5 The Liquidation Committee shall:
8.5.1 publish
the announcement about TALO´ s dissolution in newspapers;
8.5.2 summon
the creditors and meet their financial demands;
8.5.3 carry
out the liquidation.
8.6 The liquidators may carry out only the particular transactions
necessary for the liquidation of TALO.
8.7 On liquidation, the property of TALO shall be passed on to other
trade unions or organisations dealing with the issues of the employees.
8.8 The liquidation costs shall be carried by the financial means of
TALO.
8.9 The results of the activities of the Liquidation Committee shall be
registered officially in a final act.
